Department: Legal/ SaaS, Fintech & Regulatory (TCPA/GDPR) Experience is Required. Reports to: CEO Position: Full‑Time About US Deposyt is a fast‑growing payments and software company at the intersection of SaaS and fintech. Our work spans payment processing, SaaS licensing, risk & compliance, and strategic M&A (in the future). We’re seeking a seasoned In‑House Counsel to help lead our legal strategy, support rapid growth, and mitigate risk across business units. Role Overview As In‑House Counsel, you will be a core member of the leadership team responsible for providing strategic, business‑aligned legal guidance. You will work across commercial contracts, compliance, litigation risk management, and fintech‑specific regulatory areas. This role requires a strong blend of proactive counseling, commercial judgment, and tactical execution. Key Responsibilities Commercial & Contract Law • Draft, review, negotiate, and manage high‑value agreements, including: • SaaS / Software Licensing Agreements (MSAs, API integrator contracts, SOWs, ISVs) • Payment / Processing Agreements and Partner Contracts • Reseller, referral, and merchant contracts • NDAs, vendor agreements, SLAs, and professional services agreements • Establish and maintain standard templates and playbooks. Litigation & Risk Management • Provide legal strategy support for litigation avoidance and risk reduction • Oversee outside counsel managing disputes, enforcement actions, or claims • Draft dispute responses, settlement agreements, and risk assessments Regulatory & Compliance • Advise on fintech and payments regulatory frameworks (TCPA, NACHA, PCI standards, state and federal payment laws, card network rules) • Support compliance with industry rules, privacy standards, and risk controls • Partner with internal risk, compliance, and product teams Corporate Governance • Support board‑level reporting and governance documentation • Draft resolutions, consents, and corporate policies Mergers & Acquisitions--- Not required at this moment • Lead legal due diligence, deal documentation, and integration planning for strategic M&A transactions • Collaborate with finance, tax, accounting, and business stakeholders • Manage outside counsel as needed Who We Are Looking For Required: • JD from accredited law school; licensed and in good standing with a U.S. state bar (Arizona license required) • 3+ years of experience practicing law in Saas, commercial, corporate, and operational settings • Strong contracts experience, especially SaaS/technology agreements and AI law. • Experience with fintech, payments, or regulated financial services • Strong litigation strategy experience including managing external counsel • Excellent judgment, communication skills, and ability to work cross‑functionally Preferred: • Prior in‑house counsel experience at a SaaS, payments, or tech‑enabled company • Experience with TCPA compliance & defense, ACH/NACHA issues • Experience structuring complex commercial and partner arrangements What We Offer: • Competitive base salary (DOE; commensurate with market) • Bonus / incentive opportunities • Health, dental, vision insurance • Remote/hybrid flexibility • Growth and leadership opportunities Salary Based on industry benchmarks (adjustable based on experience & responsibilities): • Phoenix, AZ: TDB based on experience.
